Practice Tip: One of the most important documents in a business transaction is often the Letter of Intent. While often couched as "non-binding", there should be binding provisions (such as confidentiality) that survive termination of the transaction/agreement. In addition, people often overlook establishing the process of how the negotiation will be conducted, which is important in complex transactions, e.g. are you negotiating with someone who has authority to make a decision?
