Securities transactions are usually complex and time sensitive. Securities rules are also complex and most private entities are unaware of how those rules apply to them.
- Advise on Capital Raising Exemptions for companies raising money and persons raising money on their behalf
- Draft Offering Memorandums
- File reports of exempt distribution with applicable Securities Commissions
- Negotiate sponsorship and financing agreements with underwriters
- Prepare prospectus and related documentation to establish a Capital Pool Company and complete a major transaction, reverse take-over or initial public offering
Practice Tip: People are often unaware that they are offside the applicable capital raising exemptions (e.g. more than 50 shareholders, issuing shares to non-qualified investors). Also, Offering Memorandums must be carefully prepared if subsequently scrutinized by investors or the Securities Commission. If you have issued securities (including debt or shares) to a number of people it would be a good idea to have the transactions reviewed to ensure that appropriate exemptions and necessary filings, if applicable, have been complied with.
